VerseCut end-user licence agreement

1. Who this agreement is between
This agreement is between Stateam LLC, 826 Alexander Road, Suite 102, Princeton, NJ 08540, USA ("we", "us"), and the person or organisation that installs or uses VerseCut ("you"). Installing or using VerseCut means you accept it.
2. What you are buying
You are buying a licence to use VerseCut. You are not buying the software itself. We keep ownership of VerseCut, its source code, its name and its designs. Nothing in this agreement transfers ownership of the software to you.
3. The plans

Every new installation begins with a 14-day trial of Creator. No account and no payment details are required for the trial, and there is nothing to cancel. When it ends, the software continues on the Free plan.
4. Two ways to pay
Annual or monthly subscription. You pay on a recurring basis and, while the subscription is current, you may use every version of VerseCut we publish, including new major releases. A subscription renews automatically until you cancel it. Cancelling stops the next renewal; you keep the paid features until the end of the period you have already paid for.
One-time (perpetual) licence. Instead of subscribing you may pay once. A one-time licence does not expire. It covers one release line — the licence issued for VerseCut 3.0 covers version 3.0 and all 3.0.x updates. It does not cover 3.1 or any later release line. Moving to a later release line costs the upgrade price we set for that release. Support and fixes for a one-time licence are limited to the release line it covers.
5. What happens if a subscription lapses
If a subscription is cancelled, expires or a payment fails, VerseCut keeps working with the paid features for a further 14 days, then steps down to the Free plan.
Stepping down does not delete anything. Your projects, media and exports remain yours, remain on your own computer, and remain openable. Free-plan limits apply to creating new saved projects and to export resolution, not to the files you already have. If you later buy a licence again, everything returns to full function immediately.
6. Your content
You own everything you create with VerseCut: your recordings, projects, captions and exports. We claim no rights over them. VerseCut does not upload, transmit or access your media — it all stays on your computer.
7. How licences are issued and checked
A paid licence is a small signed file. VerseCut verifies its signature on your computer, using a key built into the application. There is no activation server, no account and no online check, so a licence activates and continues to work on a machine that is never connected to the internet.
At your request we can lock a licence to particular computers, identified by the Machine ID that VerseCut displays. We do not do this unless you ask.
8. What you may not do
- Resell, rent, lease, sub-license or redistribute VerseCut or any licence file.
- Share a licence file outside the seat count your plan allows, or publish it anywhere.
- Remove, disable or work around the licence check, or use a licence you did not buy.
- Reverse-engineer, decompile or disassemble VerseCut, except where the law expressly allows it despite a term like this one.
- Use VerseCut to produce material that is unlawful where you are.
Breaking these terms ends your licence. We will tell you first and give you a reasonable chance to put it right, unless the breach is deliberate redistribution.
9. Transfer
A licence is personal to you and may not be transferred or sold on. A Studio seat may be reassigned from one member of your organisation to another; write to us and we will reissue the licence.
10. Open-source components
VerseCut runs third-party open-source software, each under its own licence — see Open-source notices. Nothing in this agreement limits the rights those licences give you, and where a term here conflicts with an open-source licence, that licence wins for the component it covers.
11. No warranty
VerseCut is provided "as is" and "as available", without warranty of any kind, express or implied, to the fullest extent the law allows. We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose, and we do not warrant any particular export quality, speed or transcription accuracy.
Back up your work. VerseCut saves projects to your own disk and does not keep a copy anywhere else.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost data, lost recordings or missed deadlines, however caused.
Our total liability under this agreement, for any and all claims, is limited to the amount you paid us for VerseCut in the 12 months before the claim arose.
13. Refunds
We refund any purchase in full within 14 days of payment, for any reason. Email capture@stateam.net with your order number. After 14 days we do not give refunds, but we would still like to hear what went wrong. The full refund policy explains how to ask.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: it takes the payment, issues the receipt, collects any sales tax or VAT, and processes refunds. Paddle's buyer terms are shown at checkout, and where they give you more than this clause does, they apply.
14. Governing law and venue
This agreement is governed by the law of the State of New Jersey, USA, excluding its conflict-of-laws rules. Any dispute arising from it will be heard in the state or federal courts sitting in Mercer County, New Jersey, and you and we both submit to their jurisdiction. This does not take away your right, as a consumer, to bring a claim in the courts of the country where you live.
15. Consumer rights
Nothing in this agreement removes rights you have under the consumer law of the country you live in, where that law says they cannot be removed. This applies in particular to clauses 11, 12 and 13.
16. Changes to this agreement
We may change this agreement for future purchases and future releases. The version in force for you is the one published when you bought your licence. We will not change the terms of a one-time licence you already hold.
